Please read these Terms of Use carefully before accessing, using, or placing an order.

These terms contain disclaimers of warranties, limitations of liabilities.

 

 Capitalized terms used herein shall be defined as set forth in Section 1 of these Terms of Use.

 

 

1. Terms and Definitions

For purposes of these Terms of Use, the following terms shall have the meanings as specified below:

RTT: means the Rider Trading Tools LLC which is the owner and the copyright owner of the website RiderTradingTools.com.  Throughout the site, the terms “we”, “us” and “our” refer to RTT.

RTT Software and Services: means the software which is developed and owned by, and copyright of, RTT, together with any updates, upgrades, revisions, modifications, new versions and related components, including, but not limited to, User Interface, Documentation and RTT Website, as well as services, including, but not limited to, software products consisting of indicators, signals, alerts.

“User” means You or any person or entity who uses RiderTradingTools.com website and is one of the Parties to these Terms of Use. The User shall accept and comply with all the conditions of these Terms of Use.

You: means you as an RTT Software and Services User (‘Your’ and ‘Yours’ shall be construed accordingly).

Terms of Use: mean these RiderTradingTools.com Terms of Use which constitute the entire agreement between RTT and the User, as well as updated, modified and/or amended future versions thereof as now or hereafter in effect.

Additional Terms: mean the terms and conditions that apply to Your use of the software, products and website of RTT, published or declared in addition to these Terms of Use.

Additional Agreements: mean agreements that apply to Your use of RTT Software and Services, published or declared in addition to these Terms of Use.

Rules: mean rules and conditions that apply to Your use of RTT Software and Services, published or declared in addition to these Terms of Use.

Content: means any and all content, consisting of text, sounds, pictures, design, photos, video and/or any type of information or communications.

Trademarks: mean trademark and service mark names, logos, domain names and other distinctive features of trademarks of their respective owners (or license holders).

Intellectual Property Rights: mean patents, patent applications, designs, trademarks and trade names (registered and unregistered), copyrights and other similar rights, database rights, computer software rights, technology, know-how and confidential information, all other intellectual property rights and similar or equivalent rights anywhere in the world that exist now or may exist in the future, as well as applications, alterations and amendments to any of the above rights.

RTT Website: all elements, content and style (look and feel) of the website, including third level domains, with the URL addresses https://ridertradingtools.com (among other URL addresses) from which the RTT Software and Services can be downloaded.

RTT Online Materials: mean materials available for downloading from the RTT Website, as well as any changes made by RTT in its sole discretion.

RTT Advertising Materials: any and all names, brands, signs, logos, banners, and any other materials, in whatever form, owned and/or used by RTT for the promotion of the company, its products, services and activities.

RTT Employees: officers, directors, employees and representatives of RTT, as well as any other persons employed by RTT.

Account ID: means an account of website user with Login and Password created for Your use of RiderTradingTools.com.

Login: means an identification code which, in combination with the Password, gives You access to Your Account.

Password: means a code You select, which, in combination with the Login, gives You access to Your Account.

Payment Processor: means a third-party payment system authorized by RTT to provide payment processing services related to financial transactions in RTT Software and Services. Stripe is the third-party payment system who handles the purchase transaction process.  Stripe requires that you enter Personal Data to complete a transaction.  The Stripe Privacy Policy can be found here:  https://stripe.com/privacy and the Stripe End User Terms of Service can be found here:  https://stripe.com/legal/end-users.

Payment Account: means a financial account issued by the Payment Processor in its payment system pursuant to a separate agreement with a User whose use of the Payment Account must be approved by the Payment Processor.

Client Area: User’s personal account profile page on RTT Website with the URL address RiderTradingTools.com, containing User’s personal details, data from the appropriate RTT Software and Services.

Personal Data: User’s personal details provided when registering on RTT Website or using RTT Website functionality and RTT Software and Services.

1.2. Words used in singular form include the plural, and vice versa, as appropriate.

1.3. Any words following the terms (in any form) “including”, “among other things”, “in particular” and similar expressions shall be construed as illustrative and not limiting the meaning of the words preceding those terms.

2. General

2.1. These Terms of Use, as well as updates hereof, constitute the entire agreement between You and RTT and govern the terms on which You can use the website RiderTradingTools.com and RTT Software and Services.
By accessing or using the RiderTradingTools.com website, by clicking on “Buy”, “Continue”, “Accept”, or a similar button or an appropriate link, and/or clicking a purchase button, You agree to the Terms of Use of this Agreement.
You agree that RTT is not responsible for the materials, software, products or third party services that may be published or distributed on RiderTradingTools.com.
The User who has not agreed to be bound by these Terms of Use shall have no right to use the website RiderTradingTools.com and RTT Software and Services.
The website RiderTradingTools.com is available for use by persons aged 18 and older.

2.2. These Terms of Use will automatically cease to be effective if it appears that You are (a) not an RiderTradingTools.com User, or (b) under the age of 18, or (c) a person who is not allowed to use the RTT Software and Services in accordance with the applicable law of any country, including the country of Your residence or intended use of the RTT Software and Services.

2.3. If You are a company employee or executive and You use RiderTradingTools.com on behalf of Your company (“Company”), You accept and agree to the below: (i) by accepting these RTT Terms of Use and by using RiderTradingTools.com, You acknowledge that You are explicitly authorized to do so by the Company based on Your and Company’s compliance with this Agreement regarding the use of RiderTradingTools.com by You and the Company; (ii) You have obtained all consents, approvals and authorizations from the Company whatsoever needed, allowing You to officially act on behalf of the Company under these RiderTradingTools.com Terms of Use. You represent and warrant that You have obtained such consents, approvals and authorizations to use RiderTradingTools.com on behalf of the Company. If You do not have such authority, You shall not have the right to use RiderTradingTools.com.

2.4. Your agreement with RTT can also include Additional Terms and Additional Agreements published or declared by RTT on the Web or in the RTT Website. Additional Terms and Agreements include, without limitations, terms and conditions set forth in these Terms of Use.

2.5. Before using the products, Software and RTT Website, You must read and agree to the relevant license agreements and additional terms regarding the products or services offered by RTT. You can accept such agreements or terms by clicking the appropriate button or as otherwise suggested by RTT, RTT’s products, Services and Website whereby You agree and acknowledge that by such use You accept the relevant agreements or terms.

2.6. You acknowledge and agree that by accepting these Terms of Use, as well as Additional Terms and Additional Agreements, You enter into a legally binding agreement with RTT. In case of any conflict between the Additional Terms or Additional Agreements and these Terms of Use, Additional Terms or Additional Agreements shall prevail with respect to any particular service offered by RTT.

Some RTT Software and Services or Software are subject to respective Rules, Additional Terms or Additional Agreements. The following Agreements, Terms and Rules also regulate Your use of the RiderTradingTools.com website and RTT Software and Services, and by this reference such Agreements, Terms and Rules are included into this Terms of Use of the RTT Website:

We reserve the right to revise and update any of these Agreements, Terms and Rules from time to time. Such changes shall be effective upon their publication on the RiderTradingTools.com site. Before using any of RTT Software and Services, You are required to read and accept the corresponding Rules, Additional Terms and Additional Agreements.

2.7. You hereby consent to the use of electronic communication in order to enter into agreements, contracts, make payments, place orders and other records, as well as to the electronic delivery of notices, policies and records of transactions initiated or completed via the website RiderTradingTools.com or RTT Software and Services.

2.8. Furthermore, You hereby waive any rights or requirements under any laws or regulations in any jurisdiction which require an original non-electronic signature or delivery or retention of non-electronic records, to the extent permitted by applicable mandatory law.

2.9. If You are a resident of a jurisdiction where the use of the RTT Software and Services or the website RiderTradingTools.com or RTT Software and Services is prohibited by law due to different requirements or a complete ban on the use of the RTT Software and Services or the website RiderTradingTools.com or RTT Software and Services in any such jurisdiction, do not install or use them.

2.10. Use of the website RiderTradingTools.com requires compatible devices (computer, mobile phone, etc.) and Internet access. The RTT Software and Services (once installed on Your computer) may use Your computer (or other device) resources, including, but not limited to, CPU, memory and network connectivity to validate licensed use of RTT Software and Services via connection to the website RiderTradingTools.com. RTT will use its commercially reasonable efforts to protect the privacy and integrity of Your computer resources and Your communications. However, You acknowledge and agree that RTT cannot give any warranties in this respect.

3. Use of the Website RiderTradingTools.com

3.1. You agree to provide accurate and complete information when You register on, and as You use, the website RiderTradingTools.com, and You agree to update Your registration data to keep it accurate and complete. RTT may store and use the registration data You provide for maintaining Your Account and performing its obligations under these Terms of Use.

3.2. You agree that RTT may, in its sole discretion and without prior notice, suspend or terminate the provision of any RTT Software and Services, or access to the website RiderTradingTools.com (or its functions) to You personally or all Users.

3.3. RTT may engage the services of consultants and other contractors in connection with the performance of obligations and exercise of rights under this Agreement, provided that such consultants and contractors will be bound by the same obligations as RTT.

3.4. RTT may make available to You various payment processing methods. You agree to abide by any relevant terms and conditions or other legal agreement, whether with RTT or a third party, that governs Your use of a given payment processing method. You agree that RTT may add or remove payment processing methods in its sole discretion and without notice to You.

3.5. RTT may discover that the content, materials, products or services published or distributed on RiderTradingTools.com violate any Additional Terms or Additional Agreement or other legal agreements, third party rights, laws, rules and regulations. You agree that in this case RTT reserves the right to discontinue the distribution of, remove or stop the publication of, such content, materials, products or services, in its sole discretion or as required by the relevant government authorities.

3.6. You agree to use the website RiderTradingTools.com only for purposes that are permitted by (а) these Terms of Use, and (b) any applicable law, regulation or generally accepted practices or guidelines in the relevant jurisdictions, and in accordance with moral principles and rationality. You agree to comply with all local laws and regulations regarding the download, installation and/or use of the materials, products and services.

3.7. You agree not to use the website RiderTradingTools.com by any means other than through the interface that is provided by RTT on RiderTradingTools.com or the RTT Software and Services interface, unless You have been specifically allowed to do so in a separate agreement with RTT. You specifically agree not to access the website RiderTradingTools.com through any automated means, including use of scripts, crawlers, or similar technologies.

3.8. You agree that You will not engage in any activity that interferes with or disrupts the operation of the website RiderTradingTools.com (as well as the servers and networks which service the website RiderTradingTools.com).

3.9. You agree that You will not reproduce, duplicate, copy, sell, trade or resell the content of the website RiderTradingTools.com, unless you have been specifically permitted to do so in a separate agreement with RTT. You must retain all copyright and other proprietary notices contained in the original materials on any copy You make of the materials of the Content. You may not modify the Content in any way or publicly display, reproduce or distribute it. The website RiderTradingTools.com is the property of RTT. The RTT Websites are protected by international copyright laws. Any unauthorized use of the RTT Websites may violate copyright laws, trademark laws and other laws.

3.10. You agree that You are solely responsible for, and that RTT has no responsibility to You or to any third party for, Your use of the website RiderTradingTools.com and any RTT Software and Services, products or services, any breach of Your obligations under these Terms of Use, and for the consequences of any such breach (including any loss or damage of any kind which RTT or any third party may suffer).

3.11. You agree to comply with any and all applicable tax laws, including the reporting and payment of any taxes arising in connection with Your use of the website RiderTradingTools.com and RTT Software and Services, and that the reporting and payment of any such applicable taxes are Your responsibility.

3.12. RTT reserves the right (but shall have no obligation) to pre-screen, moderate, review, flag, filter, modify, refuse or remove any or all Content, products, materials or services from the website RiderTradingTools.com. However, You agree that by using the website RiderTradingTools.com You may be exposed to materials, products or services that You may find offensive, indecent or objectionable, in which case you can submit a relevant claim to RiderTradingTools.com website’s support service at: https://ridertradingtools.com/contact-us or by sending email to: support@ridertradingtools.com.

3.13. You agree that RTT owns all right, title and interest in and to the RiderTradingTools.com website. You agree that RTT has all the appropriate rights and licenses for the distribution of the Content, materials, products or services through the website RiderTradingTools.com and RTT Software and Services that are provided by their respective authors or other copyright owners. You agree that You will not, and will not allow any third party to, (I) copy, sell, license, distribute, transfer, modify, adapt, translate, prepare derivative works from, decompile, reverse engineer, disassemble or otherwise attempt to derive the source code of the software located on the website RiderTradingTools.com, unless otherwise permitted, (II) take any action to circumvent or defeat the security or content usage rules provided, deployed or enforced by any functionality (including without limitation digital rights management or forward-lock functionality) in the materials, products and services, (III) use the Content, materials, products or services to access, copy, transfer, transcode or retransmit content in violation of any law or third party rights, or (IV) remove, obscure, or alter copyright notices, trademarks, or other proprietary rights notices of RTT or any third party, affixed to or contained within the Content, materials, products or services.

3.14. All rights to Trademarks, as well as property rights and titles, including but not limited to any and all rights to intellectual property are the property of their respective owners or license holders. Except as otherwise provided in these Terms of Use, neither party grants to the other party any right, title or interest (including, but not limited to, any implied licenses) in or to Trademarks. Nothing in this Agreement gives the User a right to use any trade names, trademarks, service marks, logos, domain names, and other distinctive brand features of RTT.

3.15. In using the website RiderTradingTools.com or RTT Software and Services, You are not granted any intellectual property rights or rights in or to the website RiderTradingTools.com or RTT Software and Services or to any related content, including materials, documentation, products or services. Any other use of the content shall be allowed only subject to respective owner’s authorization or when this is provided by law. These Terms of Use do not grant You any right to use any branding or logos of RTT. You must not remove, obscure, or alter any legal notices displayed on the pages of the website RiderTradingTools.com.

3.16. You shall not access or attempt to access an Account that You are not authorized to access. You agree not to modify the software in any manner or form, or to use modified versions of the software, for any purposes including obtaining unauthorized access to the website RiderTradingTools.com or RTT Software and Services. Violations of system or network security may result in civil or criminal liability.

3.17. You agree not to carry out illegal acts directed at massive attraction of visitors to the RiderTradingTools.com website. Any unauthorized massive advertising campaigns concerning RiderTradingTools.com website services are prohibited.

3.18. Each User further represents, warrants and agrees that he/she shall:

a) carry on their activities on the RTT Website in compliance with any applicable laws and regulations;
b) conduct their business transactions with other RTT Software and Services Users in good faith;
c) carry on their activities in accordance with the Terms of Use and any applicable Rules and Additional Agreements;
d) not use RTT Software and Services or RTT Website to defraud any person or entity (including without limitation sale of stolen items, use of stolen credit/debit cards);
e) not impersonate any person or entity, misrepresent themselves or their affiliation with any person or entity;
f) not engage in spamming or phishing;
g) not engage in any other unlawful activities (including without limitation those which would constitute a criminal offense, give rise to civil liability, etc.) or encourage any unlawful or fraudulent activities;
h) not attempt to copy, reproduce, exploit or expropriate RTT Website’s various proprietary directories, databases and listings;
i) not distribute any computer viruses or other destructive devices and codes that have the effect of damaging, interfering with, intercepting or expropriating any software or hardware system, data or personal information;
j) not involve any scheme to undermine the integrity of the data, systems or networks used by RTT Website and/or any User of RTT Software and Services or gain unauthorized access to such data, systems or networks;
k) not engage in any activities that would otherwise create any liability and/or financial losses for RTT or its affiliates.

3.19. The User shall not use RTT Website, RTT Software and Services or Account to engage in activities which are identical or similar to the Rider Trading Tools LLC business.

3.20. The User agrees to provide to RTT all the necessary information, materials and approval, and render all reasonable assistance and cooperation necessary for RTT to provision RTT Software and Services, as well as for evaluating whether any User has breached the Terms of Use and/or handling any User’s complaint. If User’s failure to do so results in delay in, or suspension or termination of, the provision of any RTT Software and Services, RTT shall not be obliged to extend the relevant service period nor be liable for any loss or damages arising out of or in connection with such delay, suspension or termination.

3.21. The User acknowledges and agrees that RTT reserves the right to, but shall not be required to actively monitor or exercise any editorial control whatsoever over the content of any message or material or information (including User Content, comments and product reviews) created, obtained or accessible through RTT Software and Services or RTT Websites. RTT does not endorse, verify or otherwise certify the contents of any comments or other material or information (including User Content) created, submitted, posted, displayed or otherwise made by any User. Each User is solely responsible for the contents of their communications and may be held legally liable or accountable for the content of their comments or other material or information.

3.22. The User acknowledges and agrees that each User is solely responsible for observing applicable laws and regulations in its respective jurisdictions to ensure that all access and use of the RTT Website and RTT Software and Services are in compliance with the same.

3.23. If any User breaches any Terms of Use, or if RTT has reasonable grounds to believe that a User is in breach of any Terms of Use, RTT shall have the right to take such disciplinary actions as RTT deems appropriate, including without limitation: (i) suspending or terminating the User’s account and any and all accounts determined to be related to such account by RTT in its sole discretion without liability for any losses or damages arising out of or in connection with such suspension or termination; (ii) restricting, downgrading, suspending or terminating the subscription of, access to, or current or future use of any RTT Software and Services; (iii) removing any product review or other User Content that the User has submitted, posted or displayed, or imposing restrictions on the number of product reviews or User Content that the User may post or display; (iv) imposing other restrictions on the User’s use of any features or functions of any RTT Software and Services as RTT may consider appropriate in its sole discretion; and (v) any other corrective actions, discipline or penalties as RTT may deem necessary or appropriate in its sole discretion.

3.24. Without limiting the generality of the provisions of the Terms of Use, a User would be considered as being in breach of the Terms of Use in any of the following circumstances:

a) RTT has reasonable grounds to suspect that such User has used a stolen credit card or other false or misleading information in any transaction with a counter party;
b) RTT has reasonable grounds to suspect that any information provided by the User is not current or complete or is untrue, inaccurate, or misleading;
c) RTT believes that the User’s actions may cause financial loss or legal liability to RTT or its affiliates or any other Users;
d) if a bank or credit card issuing company cancels the payment in favor of RTT at Your request (You request a chargeback), we may block Your account or restrict the use of a relevant Payment system;
e) if RTT detects any signs of fraud or suspicious activity related to any payments within RTT Software and Services, we may set a limit of expenses for Your account or block it.

3.25. RTT reserves the right to cooperate fully with governmental or regulatory authorities, law enforcement bodies, private investigators and/or injured third parties in the investigation of any suspected criminal or civil wrongdoing. Further, to the extent permitted by applicable laws and policies, RTT may disclose the User’s contact information and/or information regarding the User’s account(s), transactions or activities carried out on or via the RTT Website, if requested by a government, regulatory or law enforcement body or an injured third party, or as a result of a subpoena or other legal action. RTT shall not be liable for damages or results arising from such disclosure, and the User agrees not to bring any action or claim against RTT for such disclosure.

3.26. RTT may, at any time and in its reasonable discretion, impose limitations on, suspend or terminate the User’s use of any RTT Software and Services or the RTT Website without being liable to the User if RTT has received notice that the User is in breach of any agreement or undertaking with any affiliate of RTT and such breach involves or is reasonably suspected to involve dishonest or fraudulent activities. RTT reserves the right to, but shall not be required to investigate such breach or request confirmation from the User.

3.27. The User agrees to indemnify RTT, its affiliates, RTT Employees, agents and representatives and to hold them harmless, from any and all damages, losses, claims and liabilities (including legal costs on a full indemnity basis) which may arise from submission, posting or display of any User Content, from access to or use of the RTT Software and Services and RTT Website, or from a breach of the Terms of Use or any Additional Agreements.

3.28. Each User accessing or using the RTT Website or purchasing RTT Software and Services shall assume the risks of conducting any purchase transactions in connection with or through the RTT Website. Users accessing or using the RiderTradingTools.com website or RTT Software and Services shall fully assume all risks of liability or harm of any kind arising out of or in connection with any subsequent activity relating to the products or services in RTT Software and Services that are the subject of the transactions on the RTT Website. Examples of such risks shall include, but are not limited to, misrepresentation of products and services, unsatisfactory product quality, failure to meet specifications, defective products, delay or default in delivery, cost miscalculations, breach of warranty, breach of contract, the risk that the manufacture, importation, export, distribution, offer, display, purchase and/or use of products or services offered or displayed on the RTT Website may violate or may be asserted to violate third party rights, and the risk that Users may incur costs of defense or other costs in connection with third parties’ assertion of third party rights, or in connection with any claims by any party that they are entitled to defense or indemnification in relation to the assertion of rights, demands or claims by claimants of third party rights. Examples of such risks also include the risk of claims from consumers, other purchasers, end-users of products or other third parties that they have suffered injuries or harm from their use of the products obtained through the RTT Website or RTT Software and Services. All of the foregoing risks are referred to as “Transaction Risks”. RTT is not liable or responsible for any damages, claims, liabilities, costs, harm, inconveniences, business disruptions or expenditures of any kind that may arise as a result of or in connection with any Transaction Risks.

3.29. The User agrees to provide all information and materials as may be reasonably required by RTT in connection with Your transactions conducted on, through or as a result of use of the RTT Website or RTT Software and Services. RTT has the right to suspend or terminate any User’s account if the User fails to provide the required information and materials without liability for any losses or damages arising out of or in connection with such suspension or termination.

4. Submission of User Materials on RiderTradingTools.com

4.1. The User shall not post or transmit through the website RiderTradingTools.com any materials that:

1. are unlawful, threatening, abusive, libelous, derogatory, invasive of privacy or publicity rights, vulgar, obscene, indecent or otherwise objectionable; 
2. to a certain extent, discredit the honor, dignity, business reputation, legal rights and interests of other persons; 
3. promote hatred towards persons or a group of persons based on religion, race or ethnic origin, and constitute attempts to incite hostility or violence; 
4. could constitute or encourage conduct that would be considered a criminal offense, give rise to civil liability, or otherwise violate any applicable law or contractual obligation; 

4.2. Any conduct by a User that in the sole discretion of RTT restricts or inhibits any other RiderTradingTools.com User from using and enjoying his or her rights is prohibited.

4.3. The User shall not post or transmit through the website RiderTradingTools.com any commercial, advertising or promotional materials for goods or services without prior written consent of RTT. The User shall not use the Website to advertise or otherwise promote sales of any goods and services in any form whatsoever.

4.4. The User shall not upload, post or otherwise make available on RiderTradingTools.com any material protected by intellectual property law (including copyright, trademark law, etc.) or other proprietary right without the express permission of the owner of the copyright, trademark or other proprietary right. The burden of determining that any material posted by the User on RiderTradingTools.com is not protected by copyright, neighboring or third party rights rests with the User.

4.5. The User agrees to be solely liable for any materials submitted by the User on the Website, including the content of such materials, compliance with the law, any damage resulting from the infringement of third party rights to the materials submitted by the User, as well as abidance by these Terms of Use, Additional Terms and Additional Agreements. RTT shall not be responsible for the materials submitted by the User on RiderTradingTools.com. The User shall compensate for any damage arising out of or in connection with the User’s violation of these Terms of Use, applicable local laws or other international laws and regulations.

4.6. By submitting any materials to the sections of RiderTradingTools.com for public use, the User automatically grants (or warrants that the owner of such materials has expressly granted RTT) RTT, its partners and Affiliated Entities the royalty-free, perpetual, irrevocable, non-exclusive right (non-exclusive license) to use, post, store, reproduce, modify, create derivative works from (such as those resulting from translations, adaptations or other optimizations), communicate, publish, publicly perform, publicly display and distribute such materials, worldwide for the full term of any copyright that may exist in such material as stipulated by local laws. The above rights are used for the limited purpose of operating, promoting, and improving RTT Software and Services, and the website RiderTradingTools.com. No additional formality, including that in writing, will be required for the rights granted by the User to be recognized. This license shall continue even if You stop using the website RiderTradingTools.com. Before You submit to RTT any materials and thus grant this license for their use, make sure You have the necessary rights to do so.

4.7. Some RTT Software and Services have in place Additional Terms, Additional Agreements and Rules governing the scope of rights, purposes and terms of use applicable to the materials, products and services of the User.

5. Privacy and Personal Data Protection.

5.1. We use personal data, which help us to create, develop, manage, provide and improve our Services and contents, as well as to protect against fraud and copyright violation.

5.2. We may occasionally use Your personal data to send You important notices of changes in our Terms of Services or Policies. We may also use personal data for internal purposes, such as auditing, data analysis and research, which enable us to improve our Services.

5.3. When You visit RiderTradingTools.com website, we may collect technical and navigational information, such as the type of the web browser, Internet protocol address, language, location, time zone, unique device/browser identifier and requested URLs so that we may better understand customer behavior and improve our products and services. We may also collect information regarding specific activities you perform on our website. This information is used to help us improve the content and usability of our website. The remaining provisions of these Terms of Use will continue to be valid and enforceable.

These Terms of Use, as well as Your relationship with RTT hereunder shall be governed by and construed in accordance with the laws of the State of Oregon, and you hereby consent to the exclusive jurisdiction and venue of courts in Oregon in all disputes arising out of these Terms of Use. Notwithstanding this, You agree that RTT shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.

12. Purchases, Payments and Refund Policy

12.1. The current Terms of Use is an important document you should carefully read before deciding on the use of the RiderTradingTools.com website software or services. Pay attention to the following risks of using RTT Software and Services:

1. Purchase transactions made through a Payment Processor may subsequently be canceled, for example, in case of a chargeback, a payment cancellation, a claim or for any other reason.

2. RTT has the right to close, suspend or restrict access to RTT Software and Services in case You violate the provisions of these Terms of Use, Rules or Additional Terms concluded with RTT.

3. RTT does not store Users’ payment details and card numbers. When a User makes a purchase of RTT Software and Services, the data is verified by a Payment Processor to make the payment, and the User will be directed to an embedded form connected directly to our billing provider Stripe for the purchase process. Stripe requires you to enter Personal Data to complete a transaction. 4. All purchases of RTT Software and Services are final. No refund or replacement of a product or a service is provided. Each RTT Software and Services product offer a trial version to review before purchasing, therefore we do not accept returns for any reason. We stand behind the products we sell. Your satisfaction is extremely important to us. If You are unsatisfied with your purchase for any reason please contact us at:  support@ridertradingtools.com. By purchasing digital content (for example, software or licenses for applications), You agree not to use the right of withdrawal stipulated by law.

12.2. Detailed requirements and conditions of purchases and payments in RTT Software and Services are described in the corresponding Rules, Additional Terms and Additional Agreements.

12.3. You agree to follow the applicable terms of use or any other legal agreement with RTT, a Payment Processor or a third party that governs the use of a given payment processing method. RTT reserves the right to add or remove payment methods at its sole discretion. You alone are responsible for paying all additional costs associated with purchases in RTT Software and Services.

12.4. Prices in RTT Software and Services shall be expressed in US dollars. RTT Software and Services may display the prices to Users in their native currency, but they shall not be responsible for the accuracy of currency rates or conversion.

12.5. In executing financial operations in RTT Software and Services, You are responsible for paying all applicable taxes, duties and customs duties relating to financial transactions in RTT Software and Services, including any related penalty or interest.

12.6. You agree to comply with any and all applicable laws relating to taxes. You also agree to submit any required tax reports and to pay any taxes arising in connection with Your use of the RiderTradingTools.com website and RTT Software and Services by yourself, at the place of your tax-residence. You will be held responsible for failure to comply with any applicable tax law.

12.7. In order to be able to make purchases in RTT Software and Services, a User may need to register on the RiderTradingTools.com website. When registering, a User agrees to provide reliable and relevant information by filling out the appropriate registration form.

12.8. The data entered during a purchase or registration should correspond to a true and correctly indicated User’s name/surname.

12.9. The User shall use only one unique Account ID on the RiderTradingTools.com website. In case additional/repeated User accounts are detected, all of them shall be closed. RTT also reserves the right to invalidate all payment transactions made from additional/repeated accounts.

12.10. While using a specific payment method, a User shall make sure that the Payment Account is opened in his/her behalf with this Payment Processor. RTT is not responsible to a User whose name is different from that registered in the Client Area.

12.11. The User agrees not to refuse from previous transactions or to deny or cancel any payments made by him/her that could cause a third party to return the payment in order to avoid any legal liability.

12.12. RTT is not responsible for the activities (errors, delays) of the Payment Processors, through which the User purchases RTT Software and Services. In case of a cancellation of a transaction by a Payment Processor, RTT also cancels the corresponding transaction on the RiderTradingTools.com website.

12.13. The User can close his/her Account at any time. To do this, the User should send a request by e-mail or via other available communication channels provided on RTT Website.

12.14. The User is fully responsible for keeping the data on his/her Account ID and Password confidential, as well as responsible for any actions and transactions performed by the User.

12.15. The User agrees to immediately notify RTT of any case of unauthorized access and/or any violation of the security of his/her Account ID. The User agrees to provide evidence of such unauthorized access upon request. Under no circumstances shall RTT be liable for any damage incurred by the User as a result of improper use of his/her Account ID, Login or Password by another person, or for unauthorized access to the User’s Client Area, regardless of whether they were authorized by the User or carried out without the User’s knowledge.

12.16. Except as expressly provided otherwise in these Terms of Use or in Rules or Additional Terms or Additional Agreements of the appropriate RTT Software and Services, all sales are final, and no compensation, refund or replacement of purchased products, goods or services shall be provided. Your rights to cancel, return purchases or get a full refund are provided in the above Rules, Additional Terms and Additional Agreements of corresponding RTT Software and Services.

12.17. Under EU law, You have the right to cancel your purchase of digital content, such as software applications or subscriptions to digital content, within 14 days. However, when purchasing such content (or subscribing to it) in RTT Software and Services, You agree that it will be provided to You immediately, and thereby waive Your statutory right of withdrawal. Consequently, You shall not be able to claim a refund or other reimbursement if You receive the content in proper condition.

12.18. No refund can be obtained after Your subscription to a service or digital content begins. If You no longer want to use a subscription, You can cancel it at any time. The access to the content remains until the end of the paid period.

12.19. Prices for our products are subject to change without notice. We reserve the right at any time to modify or discontinue RTT Software and Services (or any part or content thereof) without notice at any time. RTT shall not be liable to you or to any third-party for any modification, price change, suspension or discontinuance of the Service.
